For most clients the answer is the Sp. z o.o.: limited liability, credibility with banks and partners, and you can register it without a residence card – a valid passport is enough.

Two ways to register a Sp. z o.o.

1. Online via S24 – faster and cheaper

Electronic documents signed with a Trusted Profile. Fee around 250 PLN. Legally up to 1 day; in practice 1–5 business days. Best when you don't need a heavily customized agreement.

2. Traditional, through a notary – for tailored setups

Agreement signed before a notary (a sworn interpreter is required if a shareholder doesn't speak Polish). Higher costs: notary fee, interpreter, ~600 PLN application fee. In practice at least a month.

Our recommendation: if your company doesn't need customization, register via S24 – cheaper and faster. We'll tell you when the notary route is genuinely worth it.

The 6-step registration process

  1. Choose the legal form and company name
  2. Prepare the articles of association
  3. Register in the KRS (S24 or traditional)
  4. Obtain your NIP and REGON numbers
  5. VAT registration (if applicable)
  6. Open a business bank account
