What is the cost and how long does it take to register a Sp. z o.o. (limited liability company) in Poland?

When registering a company in Poland, two main factors are to be considered, which are cost and time.
The cost and time of this kind of company depends on the type of procedure you choose. There are two ways of registering a Sp. z o.o. (limited liability company) in Poland which are as follow:

1. Through the Notary, application to the register court in document form.
2. Through the S24 platform, application to the register court in electronic form in the S24 electronic system.

1. Application to the register court in document form:

This is a traditional method of registration. The lawyer will help you prepare all of the registration documents in hardcopy, visit the notary to sign a company agreement, submit an electronic application in the PRS portal and submit all hard copies to the registration court.

What are the costs involved – This process is the most costly procedure:

  • Notary fee – The notary fee is 160 PLN + VAT in case of the minimal share capital of 5000 PLN + around 150 PLN gr. Of hardcopy fees.
  • Interpretation – If any of the shareholders doesn’t speak Polish, you are obliged to have a sworn translator present during the meeting at the notary. The cost for sworn translation from ENG to PL is 250 PLN net + VAT per hour.
  • Application fee – 600 PLN gr.

Remember that part of these costs will increase if your share capital is higher than 5000 PLN.

How long does it take?
Let’s not take into account the time needed for preparation of all the needed documents and a visit to the notary. According to Polish law, from the moment of submitting the application to the court, the proceeding should take no longer than 7 days. However, in most cases, the process takes at least not less than a month or even longer.

2. Application through the s24 platform:

This is a simpler option to register a  Sp. z o.o. (limited liability company) in Poland. This process is currently more popular as all documents are prepared in an electronic form and signed by using a qualified electronic signature (Trusted Profile). The submission of an application to the register court takes place in s24 platform.

What are the costs involved – This process is much cheaper:

  • Application fee – 350 PLN gr.

There are no notary or interpretation fees and the administration fee is cheaper.

How long does it take?
Let’s not take into account the time needed for preparation of all the needed documents. According to Polish law, from the moment of submitting the application to the court, the proceeding should take no longer than 1 day. However, in most cases, the process takes between 1 – 5 business days.

Conclusion:
If the company you plan to start doesn’t require any detailed customization, it is best and we recommend registering it in the s24 platform, as it is both cheaper and faster.
It is important to remember that registering a company may be difficult and if not done right, may cause you a lot of issues. Therefore, we highly advise to have a lawyer take care of the process and all related paperwork.
